破産裁判所設立の薦め

投機的格付けの米企業ローン市場の最もリスクの高い分野は、格下げへの懸念から多くの投資家に敬遠されつつある。このためレバレッジドバイアウト（ＬＢＯ）や、借り入れを原資とする配当受け取り（debt-funded dividends）の動きが鈍ってきた。
これは米連邦準備理事会（ＦＲＢ）がいくら払しょくしようとしても、来年米国が景気後退（リセッション）に突入するのではないかとの観測が根強く残っている証拠だ。リセッションが現実化すれば、多額の債務を抱えた企業は資金繰りに窮することになる。
米国の投機的格付けローン市場は、超低金利を背景に２０１０年以降で３倍に膨らみ、１兆３０００億ドルの規模に達した。投資家はリスクの高い資産に積極的に資金を振り向け、プライベートエクイティ（ＰＥ）は高いリターンを生み出すとともに、より大型の買収を追い求めることができたのだ。
しかし足元でローン市場の雲行きが怪しくなったことから、これらの大型買収の一部案件は実現性が薄れている。例えばドラッグストアチェーン大手ウォルグリーン・ブーツ・アライアンス（ＷＢＡ）(WBA.O)が目指していたＬＢＯを通じた株式非公開化計画も、ＰＥ側から懐疑的な反応を示された。
実際、米経済の先行きに警戒感が高まったことを受け、ローン投資家は金利引き上げなど、より厳しい条件を要求。これによってレバレッジ比率の高い大半の企業は借り換えが難しくなっている、と資本市場専門家は話す。
クレジット投資を手掛けるヨーク・キャピタル・マネジメントのマネジングディレクター、リズワン・アクタル氏は「来年リセッションになるかどうかは不明だが、ローン市場はリセッションがやってくる事態に備えている」と述べた。
ディーロジックによると、今年は年初から１０月までで、米国の投機的格付けローンの組成件数が１５年以降で最も低調な期間となり、組成規模は前年同期比でほぼ３分の２に落ち込んだ。それがディールに向けた動きを圧迫し、リフィニティブのデータに基づくと１－１０月のＬＢＯは１６年以来の低水準、借り入れを通じた配当受け取りは１０年以来の低水準にとどまった。
過去数年間はレバレッジドローンが非常に活発化したため、引き受け基準が緩み、利益に対する債務比率が高まったほか、財務制限条項がなおざりにされて、デフォルト（債務不履行）発生時の投資家を保護する効果が弱まった。
今後に経済状況が悪化した場合、これらのローンが格下げされる公算はさらに増大し、ローンマネジャーにとって頭痛の種になりかねない。
三菱ＵＦＪフィナンシャル・グループ(8306.T)でローンのシンジケートと販売の責任者を務めるArt de Pena氏は「ローン投資家は依然として格下げの可能性と企業業績が予想に届かない状況を心配している。いずれのケースもデフォルトの増加につながってもおかしくない」と指摘した。
＜リスク志向低下＞
最もリスクが高いローンへの投資意欲が減退しているため、いったん組成したローンを売却することがほとんどの銀行も、厳しい立場に置かれている。リフィニティブのデータを見ると、米国ではバンク・オブ・アメリカ(BAC.N)、ＪＰモルガン(JPM.N)、ウェルズ・ファーゴ(WFC.N)が今年１－１０月のレバレッジドローン組成件数でトップ３だった。
レバレッジドローンは変動金利なので金利低下局面では魅力が色あせる。対照的にジャンク債は固定金利商品のため、ローン市場の不振とは無縁だ。全般的な金利低下やローン市場からの資金シフトを追い風に、今年これまでにジャンク債の発行は約２０％増加した。
それでものどから手が出るほど資金が欲しい企業にとって、ジャンク級ローンの低迷を帳消しにできるほどの効果は発揮していない。
最近ではオークションを手掛けるサザビーズや、バルブなどを製造するコルファクスなどのＬＢＯにおいて、銀行は投資家を集める目的で、借り手の配当支払いやスピンオフに制限を加えるといった条件変更に応じざるを得なくなった。
ヨーク・キャピタルのアクタル氏は「今われわれは、プライシングがＬＩＢＯＲ（ロンドン銀行間取引金利）プラス４００（ベーシスポイント＝ｂｐ）でない限り、Ｂ３／Ｂ－の新規ローンには目もくれない。昨年ならＬＩＢＯＲプラス３５０ないし３７５で取引が成立した」と説明した。
＜ＣＬＯに重圧＞
最もリスクの高いローンを避けている投資家は、ローン担保証券（ＣＬＯ）のマネジャーだ。これらのマネジャーは購入したローンをパッケージ化した後、投資家のリスク許容度に応じて切り売りする。
彼らは、Ｂ３／Ｂ－のローンがリセッション時にＣに格下げされるのを恐れ、購入に二の足を踏んでいる。ＣＬＯは、Ｃ格付け債務を総資産の７．５％までとする上限を設けている例が多く、これを超えればマネジャーが損失を被る可能性が出てくる。
Ｓ＆Ｐグローバルは、今年６月末段階でＣＬＯ市場のエクスポージャーのうちＢ格付けローンの比率が１８％強と１７年末の２倍以上に達しており、重圧が高まっていると分析した。
インドの金融行政が未知の領域に踏み込みつつある。「影の銀行（シャドーバンキング）」の危機的状況に取り組んでいる中央銀行が、住宅金融大手デワン・ハウジング・ファイナンス（ＤＨＦＬ）(DWNH.NS)と同社が抱える約１２０億ドルの負債を破産裁判所送りにしたのだ。
企業統治上の問題などがあったにせよ、もともと一般事業会社向けに設計された手続きで金融機関を処理するのはかなり大胆だ。しかし、行き詰まりがかくも長期化する中で事態を打開するには、こうする以外になかったのかもしれない。
インドの不良債権は２０００億ドルに達しており、中銀が大胆な動きを見せたことは喜ばしい兆しだ。
今回の取り組みは未踏の領域に踏み込むことでもある。インドには経営破綻した金融機関への対処に特化した枠組みがない。預金者の扱いを巡って反発を受けたことで政府は昨年、金融機関の破綻処理法案を撤回していた。
ただ、規制当局には新たな権限が与えられ、１８日からの週に破産法の追加的な改正が行われたこともあいまって、経営に支障のある貸し手を処理する新手法が可能になっている。これにより、問題は解決に近づきつつある。
ＤＨＦＬの案件は、インドの銀行業界が健全化に向かう取り組みで新たな節目と言える。政府が１年と少し前、ノンバンク大手のインフラストラクチャー・リーシング＆ファイナンシャル・サービシズ（ＩＬ＆ＦＳ）の支配権を握ったときは、これをきっかけにノンバンク業界で流動性のひっ迫が起きていた。インドの個人と法人の債務合計は昨年、ノンバンクの保有分が全体の約５分の１を占めた。
ＤＨＦＬの破綻処理に問題も残っている。例えば、リテール部門の資産の一部は既に銀行に引き取られたあとだし、払い戻しが必要な預金顧客も抱える。
規制当局は最終的に破綻処理にゴーサインを出すだろう。しかし裁判所に持ち込まれるまでに４カ月もかかっており、手続きの進行はこれからもあらゆる局面で試練に見舞われだろう。
しかし、破綻したインド鉄鋼大手エッサール・スティールの処理手続きは、有担保債権者にとって満足のいくものだったとしても、時間が２年もかかった。
ＤＨＦＬの破綻処理の場合は寛大な債権者対応よりもスピードが優先されかもしれない。

アメリカの横暴さを国際社会に告発しておこう。
安倍晋三、連日「桜を見る会」で追及されている。
「バイマイアベノミクス」「貯蓄から投資へ」の自己責任を手前で何とかしろ。
アベノミクスの挙句の果ての局面を何とか打開しよう。
